    Volvo Group And Isuzu Motors Sign Final Agreements To Form Strategic Alliance

    The Volvo Group and Isuzu Motors today signed binding agreements to form a strategic alliance within commercial vehicles in order to capture the opportunities in the ongoing industry transformation, in accordance with the Memorandum of Understanding signed in December 2019. The agreements include Isuzu Motor’s acquisition of UD Trucks from the Volvo Group for an enterprise value of JPY 243 billion (approx. SEK 20 billion). The transaction is subject to certain conditions, including approval from regulatory authorities. 
    The Alliance between the Volvo Group and Isuzu Motors is set to a build long-term and robust relationship that will encompass but not be limited to:

    • Forming a technology partnership, intended to leverage the parties’ complementary areas of expertise within both well-known and new technologies and creating a larger volume base to support investments for world-class technology. The technology partnership encompasses:
      • Joint development by Isuzu Motors and UD Trucks of common platforms for medium heavy-duty truck models for the Japanese- and other Asian markets, utilizing amongst others Volvo Group technology.
      • Intended cooperation regarding new technologies such as autonomous driving, connectivity and medium- and heavy-duty electrical vehicles.
    • Creating the best long-term conditions for a stronger heavy-duty truck business for UD Trucks and Isuzu Motors in Japan and across international markets by transferring ownership of the complete UD Trucks business from the Volvo Group to Isuzu Motors. This will accelerate growth by leveraging greater volumes and complementary capabilities, creating significant synergies for Isuzu Motors.
      • As a first step, Isuzu Motors and UD Trucks are discussing the conditions for supply of certain truck variants from UD Trucks to Isuzu Motors from 2022 onwards.
      • To secure smooth business continuation, the Volvo Group will provide transitional services to UD Trucks, and also supply components to UD Trucks.
    • Exploring further opportunities for even broader and deeper collaboration within the commercial vehicle businesses across geographical areas and product lines for future urban logistics solutions. Isuzu Motors is one of the world-leaders in the segment of 3.5 to 15T light and medium-duty trucks with volumes of 252 000 units in 2019.
    • Exploring cooperation in the areas of purchasing and logistics, leveraging common technology, as well as the geographical footprint complementarity and volume expansion.

    The Volvo Group and Isuzu Motors will establish a Joint Alliance Office, with facilities both in Japan and Sweden, which will be overseen by an Alliance Board comprising the Isuzu Motors President, the Volvo Group CEO and other key executives from the two groups.  
    There is great complementarity between the Volvo Group and Isuzu Motors from both a geographical- and product line perspective. The two companies have signed an Alliance Framework Agreement for a minimum duration of 20 years, to take up the possibilities and challenges of the logistics industry of the future, maximizing value and benefits for customers as well as for society.  
    “I have high expectations on this strategic alliance, which will make Volvo and Isuzu Motors even more competitive within their respective markets and segments. This is an opportunity to share technology investments and also to help each other grow. I am confident that UD Trucks will become a bridge between the Volvo Group and Isuzu Motors and that the strategic alliance will create the conditions to continue to develop UD Trucks to a new level within Isuzu Motors. I also want to express my pride at how the UD Trucks team has been able to serve customers and continue to improve financial performance also during this unprecedented period, characterized by the COVID-19 pandemic. The Volvo Group will continue to support UD Trucks, and participate in the Asian markets through this alliance,” says Martin Lundstedt, President and CEO of the Volvo Group.  
    “This is a very exciting day. We have signed the strategic alliance agreement with the Volvo Group. The difficult and unforeseeable COVID-19 situation has made the strategic alliance even more valuable and has built a solid, trustful relationship between Isuzu and the Volvo Group. This long-term partnership will span across products, technologies and regions, and actively contribute to service improvements and strengthened customer satisfaction as well as supporting the logistics industry. I am fortunate to have UD Trucks joining the Isuzu Group. UD Trucks will play an important role of the strategic alliance for efficient and effective collaboration between Isuzu Motors and the Volvo Group,” says Masanori Katayama, President and Representative Director of Isuzu Motors Limited.  
    The agreed purchase price on a cash and debt free basis, enterprise value, for UD Trucks is JPY 243 billion (approx. SEK 20 billion) to be paid to Volvo at the closing of the transaction. Furthermore, the agreement includes an earnout, in which an additional amount up to JPY 15 billion (approx. SEK 1.2 billion) is to be paid subject to the performance of UD Trucks during the years 2021-2023. UD Trucks’ revenues for the last 12 months (July 2019-June 2020) amounted to JPY 278 billion (approx. SEK 23 billion). The business had a marginally positive impact on the Volvo Group’s operating income in the same period. At the time of closing, the transaction is expected to result in a positive impact on the Volvo Group’s operating income of approximately SEK 2 billion and increase the Volvo Group’s net cash position in the Industrial operation by approximately SEK 20 billion. Closing is expected during the first half of 2021. The transaction is subject to certain conditions, including approval from regulatory authorities.

    ASV Holdings Inc. gives operators a premium operator experience with the introduction of the MAX-Series loaders. The line includes the pictured VT-70 High-Output, as well as the RT-65, RT-75 and RT-75 Heavy-Duty Posi-Track loaders.

     

    ASV Holdings Inc., an industry-leading manufacturer of all-purpose and all-season compact track loaders and skid steers, gives operators a premium operator experience with the introduction of the MAX-Series™ loaders. The loaders include a new, next generation cab featuring the industry’s best 360-degree visibility, a more spacious operator area, a fully adjustable seat, a new state of the art touch-screen display and more. The machines are named for providing maximum comfort, control, performance, speed and productivity to provide maximum ROI. In addition to the new operator-inspired improvements, the MAX-Series loaders feature the industry-leading hydraulic performance, cooling capability, undercarriage technology, reliability and serviceability ASV customers have come to expect. The initial models include the RT-65, VT-70 High Output, RT-75 and RT-75 Heavy-Duty MAX-Series Posi-Track® loaders, which will replace the machines with the same model number.

    Comfort
    Operators can work longer days in comfort with the MAX-Series’ new fully suspended seat, featuring adjustable recline, slide, weight, and four-way arm rest settings. The seat is the most customizable in the industry and is accessible to virtually all body types. A new one-sided lap bar frees space around the operator’s waist and also makes entry and exit easier. Contractors will also have more breathing room and the ability to stretch due to a roomier cab, including up to 2 more inches width at the shoulders, 8 inches wider at the knees and up to 4.5 inches more foot room. The cab also features a new level of operator experience thanks to available Bluetooth radio, improved speakers and speaker placement, and a new antenna placement for a better signal.
    The MAX-Series enhances comfort with a highly pressurized, all-weather cab. The optional pressurized cab’s improved seal allows it to stay quieter and more resistant to outside dust and debris. Heat and cold levels are further maintained with an updated HVAC system, allowing for better circulation and improved defrosting capabilities.
     
    Ease of Use
    The MAX-Series makes operators’ work easier in addition to making it more comfortable. The new cab provides maximum visibility, featuring industry-leading floor to ceiling glass area made possible by all clear sides and a frameless door. This gives the operator 52% more glass area in the optional enclosed cab compared to previous ASV models. That allows premium 360-degree visibility with minimal obstructions to the operator’s line of sight, providing a better view of the attachment and surroundings. Visibility is further improved with standard LED lighting and optional side lighting.
    The cab has a truly next generation feel, thanks to an optional new, state-of-the-art 7-inch touch-screen display. The simple-to-use screen includes all vital monitoring tools, provides a view of the backup camera and integrates with service history and schedules, such as engine oil changes and other maintenance needs. Passcode operator lockout is also available.
    In addition to the display, operators will see more ease of use as a result of improved, intuitive switch locations and operator controls. Control is further enhanced with a new dual throttle option, allowing contractors to operate at a set RPM with joystick controls and increase the RPM with the foot throttle without needing to adjust the dial.
     
    Reliability
    ASV built the new cab with a number of features to ensure long-term reliability. New wiring harnesses and fuse panels are fully sealed, water tight and are installed with a design that further protects the electronics.
    The new standard cab platform also brings the ability to add Heavy-Duty guarding to other MAX-Series machines. Previously the option was only available on the RT-75 Heavy-Duty and RT-120 Forestry. The configuration includes metal guarding against brush and debris around key areas, such as lights, the AC condenser and rear screen. Operators can also choose to include a factory-installed full rear brush guard, as well as a heavy-gauge, falling object protective structure (FOPS) level 2 cab — a feature previously only on the RT-120 Forestry.
     
    Safety
    Operators can work in comfort and improved safety with the MAX-Series. In addition to being able to better see their surroundings, the machines include the industry’s first compact loader roof escape hatch, allowing operators to get out quickly in emergency situations. Models also include rollover protection (ROPS) and reinforced windows for impact resistance.
     
    Posi-Track Innovations
    In addition to the new, operator-inspired features, the MAX-Series includes the trademark ASV performance operators have come to expect. ASV purpose-builds its Posi-Track loaders from the ground up to include the company’s patented rubber track system, allowing for a smoother ride over every type of terrain. Posi-Track loaders maximize ground contact, virtually eliminating track derailment and facilitating maximum performance on steep slopes. The high number of contact points and wide tracks also provide industry-leading low ground pressures. In addition, all models have superior ground clearance, allowing the machines to work in more places, in a wider range of conditions, and more comfortably than competitive equipment.
    ASV Posi-Track loaders feature leading hydraulic and cooling efficiencies. Drive motors transfer torque to the patented internal-drive sprockets and internal rollers reduce friction loss in the undercarriage, allowing for maximum performance. In addition, all machines include large line sizes, hydraulic coolers and direct-drive pumps — rather than belt-driven pumps — transferring more flow and pressure directly to the attachment and preventing power loss. ASV’s advanced cooling system helps contractors operate MAX-Series machines at 100% load, 100% of the time in ambient temperatures up to 118 F.
     
    The MAX-Series is backed with ASV’s new industry-leading 2-year/2,000-hour warranty. The warranty covers tracks for the entire period and includes the industry’s first and only no-derailment guarantee.

    Canadian Pacific To Donate To Local Food Banks, Host Virtual Concert For 2020 Holiday Train

     

    Due to the COVID-19 pandemic, Canadian Pacific (CP) will donate to food banks in communities along its network and host a virtual concert in lieu of its regular Holiday Train program. The modified program will draw attention to food security issues, while ensuring donations go to all food banks that would ordinarily receive them, including those that typically host a Holiday Train event in alternating years.  
    “COVID-19 has created many challenges for communities across our network and has only increased the need at local food banks and food shelves,” said CP President and Chief Executive Officer Keith Creel. “It is our honor to continue to donate to communities across our network this year, even if the train itself will not run. The spirit of the Holiday Train program and the Christmas spirit will carry on this year through our virtual concert. We will have the Holiday Train rolling again spreading Christmas cheer as soon as it’s safe to do so!”  
    CP launched the Holiday Train in 1999, and every year since it has traveled across Canada and the northern U.S. raising money, collecting food and drawing attention to the important work of local food banks. In its first 21 years, the train has raised $17.8 million and collected 4.8 million pounds of food for local food banks in communities along CP’s network. 
    “We are very excited that CP has chosen a safe way to keep the spirit of the CP Holiday Train rolling in support of local food banks like ours in these challenging times,” said Calgary Food Bank President and CEO James McAra. “The need for food bank services has risen substantially over the course of this year and heading into the high-demand winter months. We hope CP’s concert will prompt the train’s supporters to give as generously as they’re able.” 
    Live music has always been part of the CP Holiday Train tradition. To maintain that tradition, CP will produce a benefit concert, with details to be announced when they’re available.
    “We support CP’s decision to hold a virtual concert instead of hosting events that encourage local gathering, though we’ll miss the train’s bright lights and in-person shows,” said Kristine Martin, President of East Side Neighborhood Services, a Minneapolis-based Holiday Train beneficiary food bank. “CP’s generous donations to East Side Neighborhood Services over the years have helped us provide nutritious food to people who have difficulty accessing traditional food shelves or grocery stores. This year, being able to continue providing those services has been even more important. We’re thankful to CP for their continued support and donations again this year.” 
    CP intends to resume operating the annual train tour in 2021.
